Terms of Service

These Terms govern your use of ScreenTheDeal, a service of eigen4d. They are written in plain English on purpose. If anything here is unclear, email hello@screenthedeal.com and ask before you engage us.

01Who we are, and what you are agreeing to

ScreenTheDeal is a service of eigen4d ("we," "us," "our"). ScreenTheDeal is a trade name, not a separate company. Your agreement is with eigen4d.

These Terms cover this website and the $99 Red-Flag Scan (the "Scan"). By using the site or buying a Scan, you agree to them. If you do not agree, do not use the site and do not buy a Scan.

Our larger Pre-LOI Deep Review is sold under a separate signed engagement letter. If you have signed one of those, it governs that work, and these Terms only cover your use of the site.

02What the $99 Scan is

You give us a listing, a URL, or a small set of documents about an online business you are thinking about buying. We look at it and we send you a written scan report (the "Report").

The Report tells you what we noticed: claims that do not line up, things that look thin, things that are missing, and the questions we think you should ask before you spend real money or real time.

That is it. This is informational research. We gather information, organize it, and tell you what we saw.

The Scan is deliberately shallow and fast. It is a first filter, meant to help you decide whether a deal is worth looking at properly. It is not the deep version.

03What the Scan is not

Read this section. It is the one that matters most.

The Scan is not an audit. It is not an examination of internal controls, and it is not a review or any other formal engagement performed under professional accountancy standards or under the rules of any accountancy regulator. We are not accountants and we express no opinion on any financial statement.

The Scan is also:

  • Not an appraisal or a valuation. We do not tell you what a business is worth or whether an asking price is fair.
  • Not legal advice. We are not your lawyers. Using this site or buying a Scan does not make us your lawyers. If the Report points at something that looks like a legal problem, call a lawyer.
  • Not accounting or bookkeeping advice.
  • Not tax advice.
  • Not investment advice. Nothing in the Report is a recommendation to buy, sell, or hold any business, any security, or any interest in anything.
  • Not brokerage. We do not find deals, we do not introduce buyers to sellers, we do not negotiate, and nobody pays us a commission on any transaction.
  • Not complete. We work fast, from limited information, for $99. A seller who is willing to lie can get past us. A clean Report is not proof of a clean business.
  • Not independent confirmation of anything the seller said. We do not contact the seller's bank, customers, suppliers, or platform representatives. We do not log into the seller's systems.
  • Not a replacement for real diligence. Before you actually buy anything, you need your own lawyer, your own accountant, your own confirmatory work, and real promises written into your purchase agreement.

04You make your own decision

You decide whether to pursue a deal, whether to make an offer, at what price, and on what terms. We do not make that decision and we do not recommend it.

The Report is a set of observations and questions. It is a starting point, not a conclusion you can rely on in place of your own judgment or in place of advice from someone licensed to give it.

By buying a Scan you agree that you are not relying on us to make your decision, and that any decision you make about any business is yours.

05What we look at, and where it comes from

We work from exactly two sources.

1. What you give us. Documents, exports, screenshots, and links that you supply.

2. Public artifacts. Things any member of the public can look at without an account and without special tools. For example: a public listing page, a public website, a public app store or marketplace page, public reviews, a public corporate or court registry record, and archived copies of public pages.

That is the whole scope of the Scan. It covers what is visible from outside the business. It does not cover the seller's books, ad accounts, analytics, contracts, or anything else behind a login, unless you supply it yourself. If you want that kind of look, that is the Pre-LOI Deep Review, under a separate agreement.

06We do not scrape

We think you should know how we actually work, so here is the commitment.

  • We do not run automated crawlers or scrapers against a seller's site, storefront, or accounts.
  • We do not try to get around a login, a paywall, a rate limit, or a robots.txt rule.
  • We do not use stolen, leaked, or purchased data.
  • We look at public pages the way a person does: we open them and read them. We may save a copy of what we read so the Report can show you where a finding came from.
  • We do not contact the seller, the seller's customers, employees, or suppliers, unless you ask us to in writing and confirm you have the right to ask.

If we ever change any of this, we will change this section first, and it will show up in the version history in section 17.

07Your side of the deal

When you send us materials, you promise that:

  • You have the right to send them to us.
  • Sending them does not break a non-disclosure agreement or any other confidentiality obligation you have. Check your NDA with the seller before you upload anything. Most of them limit who you can share with.
  • You are not using the Scan to harass a seller, to interfere with someone else's deal, or for any unlawful purpose.
  • The information you give us about yourself is accurate.

You also agree not to resell the Report, republish it, or pass it off as your own work, and not to let anyone else rely on it. The Report is licensed to you for your own use in evaluating the business you asked about. If you want to show it to your lawyer, accountant, or lender, you may, as long as you tell them in writing first that they may not rely on it and that we owe them no duty.

Nobody else gets rights under these Terms. There are no third-party beneficiaries. The seller, the business you are looking at, your lender, your investors, and your partners get no rights or claims from these Terms or from the Report.

08Price, payment, and the 7-day refund

The Scan costs $99 (United States dollars), paid up front. We send payment details by email once we have confirmed scope. The price on the site at the time you buy is the price.

The 7-day refund is unconditional. For any reason, or no reason, you can ask for a full refund of the $99 within 7 days of the day we deliver your Report. Email hello@screenthedeal.com and say you want a refund.

  • You do not have to explain why.
  • We will not ask you to do anything to qualify.
  • We will refund the full $99 to your original payment method within 10 business days.

Once we refund you, your license to use the Report ends and you should stop relying on it. That does not affect your right to the refund. We are not going to make you prove anything.

After 7 days, the fee is earned. Note that a Report you disagree with is still a Report: the price buys the work, not a particular result.

09Turnaround

We aim to deliver a Scan within 24 hours of receiving your payment and the information we need. That is a target, not a promise, and there is no separate late-delivery credit for the Scan. If we are running behind, the 7-day refund in section 8 is your remedy: you can simply cancel and get your money back.

The Pre-LOI Deep Review does carry a delivery deadline with a refund attached. That is in its engagement letter, not here.

10Your information and privacy

  • We use what you send us to produce your Report and to support you afterward.
  • We do not sell your information. We do not share it with the seller, with other buyers looking at the same business, or with anyone else, except vendors who help us run the service and who are under confidentiality obligations.
  • Our analysis is produced with AI systems, and a named human reviews every Report. Your materials are processed by third-party AI infrastructure providers, currently Anthropic and Google Cloud, whose commercial terms state that customer content submitted through their services is not used to train their models. We do not train our own models on your materials or the seller's materials.
  • We keep your materials for 90 days after delivery, then delete them on request within 30 days. We keep the Report and our working notes for six years for insurance and legal reasons.
  • Our Privacy Policy has the full detail and is part of these Terms.

11The site itself

The site, the Report format, our checklists, and our methods are ours. You get a license to use your Report as described in section 7 and nothing more.

We may change, suspend, or discontinue the site or the service at any time. We try to keep the site up but we do not promise it will always be available or error free.

Do not attack the site, do not scrape it, do not try to break into it, and do not use it to build a competing product.

12No warranties

The site and the Scan are provided "as is" and "as available." To the fullest extent the law allows, we disclaim all implied warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Report is complete, that it identifies every problem with a business, or that any business you buy will perform in any particular way.

13Limits on our liability

The cap. Our total liability to you for everything connected with the site, the Scan, and these Terms will not be more than the total fees you have actually paid us in the 12 months before the event giving rise to the claim. For most people that is $99. This applies however a claim is framed, and it applies to all claims added together.

No indirect losses. We are not liable for lost profits, lost business opportunity, the loss of a transaction, the cost of a replacement deal, or any other indirect, incidental, special, or consequential loss.

Time limit. Any claim must be brought within one year of the date we delivered your Report.

What this section does not touch. Nothing here limits liability for fraud, for willful injury to the person or property of another, or for a violation of law, whether willful or negligent. California Civil Code section 1668 makes contract terms that try to do that unenforceable, and we are not trying to.

Rights you cannot sign away. Nothing in these Terms takes away a right you have that the law says you cannot give up. If you are a consumer under the California Consumers Legal Remedies Act, nothing here waives your rights under that Act. California Civil Code section 1751 makes any such waiver void, and we are not attempting one. Some states do not allow certain exclusions, so parts of sections 12 and 13 may not apply to you.

If a court disagrees with part of this. If a court holds part of this section unenforceable, the rest still applies to the fullest extent the law allows.

14If you cause us a problem

If someone other than you brings a claim against us because you sent us materials you had no right to send, or because you let someone else rely on the Report in breach of section 7, you will cover our reasonable costs and legal fees for that claim. This does not apply to the extent the claim arises from our own fraud, willful injury, or violation of law.

15Ending things

You can stop using the site at any time. We can suspend or close your access if you break these Terms.

Sections 3, 4, 7, 8, 10, 12, 13, 14, and 16 continue to apply after you stop using the service.

16Law and disputes

Governing law. California law governs these Terms, without applying conflict of laws rules.

Where disputes go. The state and federal courts located in California have exclusive jurisdiction, and you and we both agree to that venue. If you are a consumer and the law gives you the right to sue where you live, this section does not take that right away.

Talk to us first. Before filing anything, email us a description of the problem and give us 30 days to fix it. Most things are fixable, and the refund in section 8 solves a lot of them. This does not stop either side from seeking an urgent court order.

17Changes to these Terms

We may update these Terms. If we make a material change, we will post the new version with a new version number and effective date, and we will email anyone who bought a Scan in the previous 12 months.

Changes are not retroactive. The version in effect on the day you bought your Scan governs that Scan.

We keep every earlier version. Email hello@screenthedeal.com and we will send you the one you want, so you can see what changed.

18The rest

  • Whole agreement. These Terms and the Privacy Policy are the entire agreement about the site and the Scan. They replace anything else on the site, including marketing copy.
  • Severability. If part of these Terms is unenforceable, the rest stays in force.
  • No waiver by silence. Not enforcing something once does not give up the right to enforce it later.
  • Assignment. You cannot assign these Terms. We may assign them to a successor that takes over our business.
  • No agency. These Terms do not make either of us the other's agent, partner, or employee.
